EU Late Payment Directive 2011/7/EU: Interest, €40 Compensation & Enforcement (2026)

Directive 2011/7/EU gives businesses automatic rights when paid late: statutory interest (ECB rate + 8%), €40 minimum compensation per invoice, and enforcement across all 27 EU countries. This guide covers the formula, payment terms, cross-border enforcement, and real collection examples. Updated September 2026.

Quick Summary: Your Automatic Rights

💰 Statutory Interest

ECB main refinancing rate + 8 percentage points per annum. Automatic — no contract clause needed. Runs from day after due date.

💶 Minimum Compensation

€40 per invoice for recovery costs. Automatic — no proof of actual costs needed. Applies to each late invoice.

📅 Payment Terms

B2B: 30 days default (unless agreed otherwise, max 60 days).
Public authorities: 30 days (statutory, cannot extend).

🚫 Cannot Be Waived

Contractual clauses excluding statutory interest or €40 compensation are void (Article 7). Your rights are mandatory.

🌍 Cross-Border

Directive applies in all 27 EU Member States. Enforce German judgment in France via European Payment Order / Small Claims.

⚖️ Enforcement

European Payment Order (Regulation 1896/2006) → enforceable in all EU without declaration. Small Claims (Regulation 861/2007) for ≤ €5,000.

The Statutory Interest Formula

Formula

Interest = Principal × (ECB Rate + 8%) × Days Overdue / 365

Where:
- Principal = Net invoice amount (or gross if VAT not separately stated)
- ECB Rate = ECB main refinancing operation rate on 1st day of half-year (Jan 1 / Jul 1)
- 8% = Statutory margin (fixed by Directive)
- Days Overdue = Calendar days from due date to payment date
- 365 = Day count convention (actual/365)

Worked Example

Invoice: €10,000 net, due March 15, 2026, paid June 20, 2026

  • Principal: €10,000
  • Period: March 16 – June 20 = 96 days
  • ECB Rate (Jan–Jun 2026): 2.15%
  • Statutory Rate: 2.15% + 8% = 10.15%
  • Calculation: €10,000 × 10.15% × 96 / 365 = €266.96
  • €40 Compensation: + €40.00
  • Total Due: €10,000 + €266.96 + €40.00 = €10,306.96

Payment Terms: What's Allowed

Default Terms (If Contract Silent)

  • B2B: 30 calendar days from receipt of invoice (or goods/services if later)
  • Public Authorities: 30 calendar days (statutory, cannot be extended by contract)

Agreed Terms (Contractual)

  • Parties may agree longer: maximum 60 calendar days
  • Longer than 60 days: void — reverts to 30 days (Article 4)
  • Must be expressly agreed and not grossly unfair
  • Shorter than 30 days: always valid

When Does the Clock Start?

  1. Receipt of invoice (not date of invoice)
  2. If goods/services received later: from receipt of goods/services
  3. If acceptance/verification needed: from completion of acceptance (max 30 days after receipt)
  4. Disputed invoices: interest runs on undisputed portion
ScenarioDue Date StartsMax Term
Standard B2B, invoice received Day 0Day 130 days (default) / 60 days (agreed)
Goods delivered Day 5, invoice received Day 0Day 630/60 days from delivery
Public authority, invoice received Day 0Day 130 days (fixed)
Contract says "45 days"Day 145 days (valid)
Contract says "90 days"Day 1VOID → 30 days applies

The €40 Minimum Compensation (Article 6)

Key Rules

  • Automatic: No need to prove actual recovery costs
  • Per invoice: €40 for EACH late invoice
  • Additional to interest: Not instead of — you get both
  • Cannot be reduced: Contractual waiver is void
  • Applies from first day of delay: Even 1 day late = €40

What It Covers

Intended for: reminder letters, legal fees, collection agency costs, internal admin time. You don't need to itemize.

Multiple Invoices = Multiple €40

Example: 5 Invoices Late

5 invoices, €2,000 each, all 30 days overdue.
Interest (each): €2,000 × 10.15% × 30/365 = €16.68 × 5 = €83.42
€40 Compensation (each): €40 × 5 = €200.00
Total Recovery: €10,000 principal + €83.42 interest + €200 compensation = €10,283.42

Cross-Border Enforcement: Getting Paid Across EU

European Payment Order (Regulation 1896/2006)

For undisputed claims (including statutory interest + €40):

  1. File Form A at your local court (or online via e-Justice Portal)
  2. Court serves defendant in their Member State
  3. Defendant has 30 days to oppose
  4. If no opposition: Order enforceable in ALL EU countries automatically
  5. Enforce via local bailiff in debtor's country

European Small Claims Procedure (Regulation 861/2007)

For claims ≤ €5,000 (principal + interest + compensation):

  • Simplified forms (Form A + B)
  • Written procedure (no hearing unless judge orders)
  • Judgment enforceable EU-wide
  • Ideal for freelancers/SMEs — lower cost, faster

European Account Preservation Order (Regulation 655/2014)

Freeze debtor's bank account before judgment:

  • Available if urgent risk of asset dissipation
  • Apply at court of debtor's domicile
  • Requires evidence of claim + urgency
  • Powerful leverage for settlement

Invoice Requirements for Late Payment Rights

To trigger Directive rights, your invoice must contain:

  1. Payment term: Explicit due date (e.g., "Payment due: 30 days from invoice date")
  2. Late payment clause: Reference to statutory interest + €40 compensation (recommended)
  3. Invoice date + due date: Clear calendar dates
  4. Net amount: Principal for interest calculation
  5. VAT breakdown: Separate VAT lines (interest on net)

Recommended Invoice Wording

Payment Terms: 30 days from invoice date.
Late Payment: Per Directive 2011/7/EU, statutory interest at ECB rate + 8% p.a. and €40 minimum compensation per invoice apply automatically from day after due date. No contractual waiver permitted (Art. 7).

What Invalidates Your Rights

  • No due date on invoice → 30 days from receipt applies (but harder to prove)
  • Invoice not delivered → clock doesn't start
  • Contractual waiver of interest/compensation → VOID (but avoid the dispute)
  • B2C invoices → Directive only covers B2B and public authorities

Real Collection Examples

Example 1: German Designer → French Client (€8,500)

Invoice: €8,500 net, dated Feb 1, 2026, due Mar 3 (30 days).
Paid: May 15, 2026 (73 days overdue).
ECB Rate (Jan–Jun 2026): 2.15% → Statutory 10.15%.
Interest: €8,500 × 10.15% × 73/365 = €172.55
Compensation: €40
Demand Letter: Sent Apr 15 (German lawyer, €120 cost).
Result: French client paid May 10 after lawyer letter. Total recovered: €8,500 + €172.55 + €40 = €8,712.55. Lawyer cost: €120. Net gain: €107.87.

Example 2: Polish Developer → German Agency (€15,000)

Invoice: €15,000 net, due Apr 1, 2026. Unpaid after 60 days.
Action: European Payment Order filed in Poland (€45 court fee).
German agency: Received Order, no opposition within 30 days.
Enforcement: Polish court issues enforceable Order. Polish bailiff coordinates with German Gerichtsvollzieher.
Recovery: German agency pays €15,000 + €500.55 interest (120 days @ 10.15%) + €40 = €15,540.55. Court fees added: €45 + €80 = €125. Total: €15,665.55.

Example 3: Italian Freelancer → Spanish Company (€3,200)

Invoice: €3,200 net, due Jan 15, 2026. 90 days overdue.
Small Claims: ≤ €5,000 → European Small Claims Procedure.
Filed: Italian court, Form A + B (€60 fee).
Spanish company: Settled before judgment: €3,200 + €87 interest + €40 = €3,327.
Cost: €60 court fee. Net: €27 gain over principal.

Example 4: Dutch Agency → Belgian Public Authority (€25,000)

Invoice: €25,000 net, public authority, due 30 days (statutory).
Paid: 75 days late.
Interest: €25,000 × 10.15% × 45/365 = €312.84
Compensation: €40
Public authority: Cannot extend 30-day term. No "budget approval" excuse.
Result: Paid after formal demand citing Directive. Total: €25,352.84.

Disputed Invoices: Partial Payment Strategy

If Customer Disputes Part of Invoice

  1. Interest runs on undisputed portion from due date
  2. Disputed portion: interest from date dispute resolved (court/settlement)
  3. Always demand payment of undisputed amount immediately
  4. €40 compensation: applies per invoice (even if partially disputed)

Strategy: Split Invoices

For project work: invoice milestones separately. If Milestone 3 disputed, Milestones 1-2 still accrue full interest + €40 each.

FAQ

Does the Directive apply to B2C?

No. Only B2B (business-to-business) and public authorities. B2C late payment governed by national consumer law.

Can I charge more than ECB + 8% in my contract?

Yes — contractual penalty interest can be higher. But statutory minimum (ECB + 8%) always applies as floor. You can't contract below it.

What if my contract says "payment 60 days"?

Valid (max 60 days). Interest starts day 61. But if contract says 90 days → void, 30 days applies.

Can I claim €40 if invoice is only 1 day late?

Yes. €40 minimum compensation applies from first day of delay. No grace period.

Does interest compound?

No. Simple interest on principal only. Directive doesn't provide for compound interest. Some national laws may allow contractual compounding.

What if debtor is insolvent?

File claim in insolvency proceedings. Statutory interest + €40 rank as unsecured claims. European Payment Order not available if insolvency opened.

Can I use this for invoices before 2013?

Directive 2011/7/EU applies from 16 March 2013. Prior: old Directive 2000/35/EC (similar but ECB + 7%). Check national law for transition.

What if I don't know the ECB rate?

Our Late Payment Calculator auto-loads current half-year rate. Or check ECB website.

Can I assign/sell my late payment claim?

Yes — statutory interest + €40 are assignable rights. Factoring companies buy late invoices at discount.
